Employer Terms

These terms govern your company's use of Upsurance to sponsor healthcare memberships for your employees. By creating an employer account you agree to them. We've written them in plain English; nothing here is hidden in fine print.
1. What Upsurance does
Upsurance operates a platform that connects your employees with independent healthcare practices offering direct memberships. You set a budget; each employee selects their own doctor and, if offered, dentist; we collect payment from you and pay the practices on your behalf. We do not provide medical or dental care, do not employ or supervise the practices, and do not direct clinical decisions.
2. Your account
You confirm that you are authorized to enter into this agreement for your company. You're responsible for the accuracy of the information you provide, for keeping your sign-in email secure, and for the actions taken from your account, including invitations you send and roster changes you make.
3. Budgets and what you pay
You set a monthly budget for primary care and, if offered, an annual budget for dental. A budget is a maximum, not a flat fee: you pay each employee's actual selection up to that cap, plus the Upsurance administrative fee included in the all-in prices shown to you. You will be told the fee that applies before you activate, and it may step down as your covered headcount grows.
Prices for an enrolled member are fixed at the time they enroll. If a practice changes its price later, existing members keep the price in effect when they enrolled.
4. Billing and payment authorization
By authorizing ACH on your dashboard you authorize Upsurance, through our payment processor Stripe, to debit the bank account you connect for the amounts invoiced each month. Invoices are generated on the first of each month for that month's active memberships and are itemized by employee and practice.
Primary care memberships are billed monthly. Dental memberships are billed annually — on the first invoice after an employee enrolls, and once each year on that member's enrollment anniversary.
If a payment fails, we'll notify you and no practices will be paid for that cycle until it clears. Repeated failure to pay may result in memberships being suspended.
5. Changes to your roster
You can add employees at any time; they appear on the next invoice after they enroll. When an employee leaves, remove them from your roster — their membership runs to the end of the period already paid for and they will not appear on the next invoice. We do not prorate or refund partial periods.
6. Term and cancellation
This is a month-to-month arrangement with no minimum commitment. You may cancel at any time by telling us or by removing your roster; memberships already paid for run out their period, and nothing further is billed. We may suspend or end service for non-payment, misuse, or if we stop offering the program, and we'll give you reasonable notice where we can.
7. Your employees' information
You'll provide employee names and work emails to invite them. We share with each practice only what's needed to enroll and care for that member. You can see who is enrolled and what it costs you; you cannot see your employees' visits, health information, or care details, and neither can we. 8. Taxes and payroll
How you treat this benefit for payroll, tax, and benefits-compliance purposes is your responsibility and your advisors'. Upsurance does not provide tax, legal, benefits, or insurance advice, and nothing we say should be relied on as such.
9. Care is between your employee and their practice
The practices are independent. They decide whom to accept, what their membership includes, and how they deliver care. Upsurance is not responsible for the quality or outcome of care, for a practice's availability, or for a practice ending its participation, though we'll help an affected member choose another practice.
10. Limits
We work hard to keep the platform accurate and available, but we provide it "as is." To the extent the law allows, Upsurance's total liability for any claim arising out of this agreement is limited to the administrative fees you paid us in the three months before the claim. We are not liable for indirect or consequential losses.
11. Changes to these terms
If we change these terms in a meaningful way we'll notify you by email before the change takes effect for you. Continuing to use the program after that means you accept the updated terms.
12. Governing law
These terms are governed by the laws of the State of New York, and any dispute will be brought in the state or federal courts located in New York.
